Terms of Service

These terms govern access to and use of Premise AI, a product of VinceLabs based in Ottawa, Ontario, Canada. By accessing or using the service, a user agrees to these terms.

1. The service

Premise AI is decision intelligence software. It turns a described idea into a structured business case and places a recommendation on a four-box model: Fund, Pilot, Defer, or Discard. The service runs in the user's web browser and produces estimates generated from the inputs provided and from model reasoning.

2. Not professional advice

Outputs are analytical estimates only. They may be incomplete or inaccurate and do not constitute financial, legal, investment, accounting, or tax advice. Findings should be reviewed with the relevant teams and qualified advisors before any commitment of people, budget, or time. VinceLabs is not responsible for decisions made in reliance on the service.

3. API keys and third-party services

A live analysis requires an Anthropic API key supplied by the user. The key is stored only in the user's browser and is transmitted only to Anthropic to perform the requested analysis. Use of the Anthropic API is subject to Anthropic's own terms and pricing, and the user is responsible for all related costs and for compliance with those terms. VinceLabs does not control and is not responsible for third-party services.

VinceLabs may suspend or restrict access for conduct that breaches these terms.

5. Intellectual property

The service, including its design, text, and software, is owned by VinceLabs and protected by applicable law. These terms do not transfer any ownership. Reports generated from a user's inputs belong to that user, who is responsible for their content and use.

6. No warranty

The service is provided on an "as is" and "as available" basis, without warranties of any kind, whether express or implied, including merchantability, fitness for a particular purpose, accuracy, and non-infringement. VinceLabs does not warrant that the service will be uninterrupted or error free, or that outputs will be accurate or reliable.

7. Limitation of liability

To the fullest extent permitted by law, VinceLabs will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or goodwill, arising from use of the service. Total liability for any claim relating to the service will not exceed the amount, if any, paid by the user to VinceLabs for the service, which for the current service is zero.

8. Indemnification

A user agrees to indemnify and hold VinceLabs harmless from claims, losses, and expenses arising from the user's use of the service or breach of these terms.

9. Changes to the service and terms

VinceLabs may modify or discontinue the service and may update these terms from time to time. Continued use after changes take effect constitutes acceptance of the updated terms. Material changes are reflected by the date above.

10. Governing law

These terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles. The courts located in Ottawa, Ontario, Canada have exclusive jurisdiction over any dispute arising from these terms or the service.
